Terms of Service

The agreement between Esimbit and a reseller who subscribes: what the software does, how the subscription is billed, and where our responsibility ends and yours begins.

Who you are contracting with

These terms are the agreement between you and LOKUM TECH LLC ("Esimbit", "we", "us") for the use of esimbit.com, the reseller panel at esimbit.com/app, and the storefronts we host for you. They apply from the moment you create an account.

We are registered as 4872118, at 8 The Green, Suite A Dover, DE 19901.

"You" is the business that signs up. If you sign up for a company, you confirm you can commit it. This is a business-to-business agreement. It is not a consumer contract, and it is not the contract your own shoppers agree to — that one is your store’s, and yours to write.

Esimbit is available in English, Turkish and Arabic. These legal texts are published in English only, and the English wording is what binds.

What Esimbit is

Esimbit is software for reselling eSIMs. You bring your own accounts — an eSIM provider account, and a payment gateway account — and we act on your instructions using the credentials you give us. We hold no eSIM inventory, and we resell nothing to you.

  • A panel where you connect providers, set your prices and margins, publish a store, and follow orders, eSIMs, customers and usage.
  • A hosted white-label storefront on your own subdomain of esimbit.store, and on your own domain if your plan includes custom domains.
  • Order handling: when a shopper pays, we order the package from your connected provider on your account and email the eSIM to the address the shopper gave.
  • Where your plan includes least-cost routing, sourcing of each order from whichever of your connected providers is cheapest for that package at that moment.
  • Usage readings pulled back from your provider, so you and your shopper can see what is left on a delivered eSIM.

Which of those you get, and how much of each — provider connections, payment connections, custom domain, removal of our footer credit, API access, team seats — is set by your plan. The pricing page lists the limits; your panel shows the ones you are using under Subscription.

We may change how the platform works, add features and retire them. If we retire something you rely on, we will tell you before it goes: at least 90 days beforehand.

Your account and your team

One account is one business. You sign up with a company name, a contact name, an email address and a password. Keep the email address working — it is where we send everything, including notices under these terms.

You can invite colleagues. There are three roles — Owner, Admin and Support — and the panel states what each can do. Only the Owner reaches the subscription and the payment method, and only the Owner can hand the account to someone else. Team seats are a plan limit; when they are all taken, new invitations are refused until you upgrade or free one.

Everything done under your account is your responsibility, whether or not you did it. Do not share logins. Remove people when they leave — a removed member loses access immediately, and a revoked invitation link stops working.

If you think someone has got into your account, tell us at [email protected] and change the password. A password change signs your other devices out.

Plans, trial and billing

Plans are sold monthly or annually. Annual is charged for the whole year up front. The price and cycle you chose at signup are shown in the panel under Subscription, along with the state of the subscription.

If the plan you chose came with a trial, you are not charged until the trial ends. Trial length belongs to the plan and can differ between plans; the panel shows the exact date yours ends.

Stripe processes subscription payments. You enter card details on Stripe’s own pages — Esimbit never sees or stores your card number. We record which plan you are on, which cycle, and whether the subscription is valid. Your card, your invoices and your billing details live in the Stripe billing portal, which opens from the Subscription page.

Subscriptions renew automatically at the end of each cycle, at the price then applying to your plan, until they are cancelled.

Prices exclude any tax we are required to charge; tax appears on your Stripe invoice. Tax on what you sell to your own shoppers is a different matter entirely, and it is yours.

If a renewal payment fails, the account goes past due and the panel says so. An account that stays unpaid may be suspended — after 14 days.

Changing plan, price changes and cancelling

You can move between plans from the Subscription page. How a change part-way through a cycle is charged or credited: Stripe prorates it, charging or crediting you for the rest of the current period at the difference between the two plans..

Being at a plan limit never deletes anything. If you are using more of something than a plan allows, the panel marks you as at the limit and stops you adding more; what you already have keeps working.

We may change prices. A change never applies to a cycle you have already paid for — it takes effect at your next renewal, and we will tell you first: at least 30 days beforehand.

Cancel whenever you like, from the billing portal. Cancellation takes effect at the end of the cycle you have paid for, and the panel shows that date. Your store keeps selling until then.

Whether fees already paid are refunded: Subscription fees already paid are not refunded. You can cancel at any time and your workspace stays open until the period you have paid for ends; an annual plan is not refunded pro rata..

Your provider and payment accounts

You connect accounts that are yours: the eSIM providers whose packages you sell, and the payment gateway that takes your shoppers’ money. You must be entitled to use every account you connect, and you must keep to that provider’s or gateway’s own terms. Whether you may resell a given package is between you and the provider who supplies it.

Credentials you enter are encrypted at rest, and decrypted only to call that provider or gateway on your behalf. The key itself is never returned by our API — the panel shows you only the last four characters, as a hint for telling two connections apart. You can verify, re-sync, replace or delete a connection at any time; replacing a key removes the old connection and creates a new one.

What a provider charges you, what a gateway charges you, what either of them promises, and what happens if they close your account, is between you and them. We are not in that relationship and cannot repair it.

If a connection stops working — a revoked key, an unpaid provider balance, a restricted gateway — your storefront cannot fulfil orders. Esimbit has no inventory of its own to fall back on.

Your store, your shoppers, your obligations

On your storefront, you are the seller. The contract for an eSIM is between you and the shopper. You choose the packages, set the prices, publish the store and decide what its terms say. A store only publishes once it can actually sell; if something required is missing, publishing is refused and the panel names what.

  • Describe what you sell accurately — coverage, data, validity, price — and keep it current.
  • Give your shoppers the terms, the privacy notice and the cancellation or refund rights that the law where you sell requires. Consumer law follows the seller.
  • Answer your own shoppers. Support for an order placed on your store is yours, not ours.
  • Handle refunds, chargebacks and disputes on your own gateway. The panel can start a refund, but the money leaves your balance, and a refund returns money only — an eSIM already delivered stays usable and the provider cost is not recovered.
  • Charge, collect and remit whatever tax your sales attract, and issue whatever invoices your shoppers are owed.
  • Do not sell into markets where you are barred from selling.

Your store’s branding and content are yours, and so is the responsibility for them. If you point us at a logo hosted somewhere we do not control, your shoppers’ browsers fetch that image from that host; the Privacy Policy explains this, because everything else a storefront page loads — scripts, fonts and flag icons — comes from our own servers.

What we are not

Esimbit is not a party to any sale you make. We are not a mobile operator, not a reseller of your packages, not an agent for your shoppers, and not a payment institution. We never hold funds — money from a storefront sale goes from the shopper to your gateway account and does not pass through us at any point.

If a provider withdraws a package, changes coverage or fails to activate an eSIM, that is a failure of a service you bought from them. We will show you what the provider returned and let you retry fulfilment. We cannot make a provider perform.

Acceptable use

Use the platform to run your own eSIM business. Do not:

  • Break the law with it or help anyone else do so — fraud, sanctions evasion, money laundering, or selling where you are prohibited from selling.
  • Sell anything through a storefront other than the eSIM service the platform is built to sell.
  • Connect credentials that are not yours, or an account you are not authorised to use.
  • Attack the platform: unauthorised probing, scraping, credential stuffing, or load that degrades service for other resellers.
  • Work around a plan limit, or remove the footer credit on a plan that does not include its removal.
  • Give panel access to anyone outside your business, other than as a team member you remain responsible for.
  • Use our transactional email to send your shoppers marketing they never asked for.

Found a security flaw? Report it to [email protected] and give us a chance to fix it before you tell anyone else. Do not test against other resellers’ stores, and never against real shoppers’ data.

Where a breach is doing immediate harm, we may act on it without notice. See "Suspension and termination".

Intellectual property and the Esimbit credit

We own the platform — the software, the panel, the storefront templates, the designs, and the Esimbit name and logo. While your subscription is live you may use it to run your business. That right is non-exclusive, non-transferable, and it ends when the subscription does. Nothing here transfers ownership of anything.

Your brand, your copy, your prices, your catalogue choices, your orders and your customer records are yours. You give us only the permission we need to host them, show them on your store and run the service for you, and only for as long as we are running it.

Storefronts carry a small Esimbit credit in the footer. Plans that include brand removal switch it off. On plans that do not, leave it where it is — hiding it is a breach of these terms.

Feedback and suggestions you send us we may use freely and without owing you anything. If you would rather something stayed confidential, do not send it as feedback.

Whether we may name you or show your store as a reference: We do not use your name or your logo as a customer reference without your written permission..

Confidentiality

Each of us keeps the other’s non-public information confidential and uses it only to perform this agreement. Yours includes your credentials, your costs and margins, your customer lists and your sales figures. Ours includes anything about the platform we have not published, and any price quoted to you privately.

Access on our side is limited to the people who need it to operate and support the platform. Our backoffice can see your account, its plan and its subscription state, and can suspend or reactivate it. It cannot read a stored credential: the API never returns one in full, to you or to us.

This does not cover information that is already public, that the receiving side already had, or that the law or a court compels us to disclose. Where we are permitted to tell you about such a demand, we will.

These obligations survive the end of the agreement.

Personal data

There are two different relationships here, and which one applies decides who answers for what.

  • Your shoppers’ data — the delivery email address, the order, the identifiers of the issued eSIM, the usage readings, and any customer account created on your store. You are the controller. We process it on your instructions, under the Data Processing Addendum, which forms part of these terms.
  • Your data as our customer — your name, your work email, your company, your locale, your plan and billing state. We are the controller for that, and the Privacy Policy says what we do with it.

You need a lawful basis for the shopper data you put through the platform, and you have to tell your shoppers what happens to it. We cannot do that for you: only you know how you obtained the customer, and your store’s privacy notice is yours to publish.

When a shopper exercises a right against you, tell us what you need and we will assist as the Addendum requires. A request that reaches us directly about a store’s customer is passed to that store’s operator, not answered by us. Our own contact for data questions is [email protected].

Suspension, termination, and your data afterwards

You can leave at any time: cancel in the billing portal, and access ends when the cycle you have paid for ends.

We may suspend an account that is unpaid, that breaches acceptable use, or that is causing harm we have to stop at once. Suspension stops your storefronts taking new orders. It deletes nothing — your data, your settings and your stored credentials stay exactly where they are, and a suspension can be lifted.

We may end the agreement if you materially breach it and do not fix the breach after we tell you about it (14 days), or if you become insolvent. We may also end it for convenience on 30 days’ notice.

When it ends, your storefronts stop serving, panel access ends, and we stop calling your providers. Delete your provider and gateway credentials from the panel before you go, if you want them gone on your timing rather than ours.

After that, account data is kept for 365 days after the account is closed, and order and eSIM records under the Data Processing Addendum, which sets what happens to your shoppers’ data when the subscription ends.

The panel has no self-serve export. If you want a copy of your orders, customers and eSIM records, ask at [email protected] before your access ends. That is the address the Data Processing Addendum names for written instructions. We cannot send you data we have already deleted.

What we promise, and what we do not

We will provide the platform with reasonable skill and care, and we will keep the security measures described on the Security page and in the Data Processing Addendum. Beyond that, and as far as the law allows, we exclude every warranty a statute would otherwise imply.

We do not promise the platform will be uninterrupted or error-free. There is no availability commitment in these terms: No uptime figure is committed and no service credits are offered. Planned maintenance is announced in advance whenever it can be.. We take the platform down for maintenance when we have to, and we try to do it when it costs you least.

We promise nothing about your provider, your gateway or the networks behind them. A package that will not activate, coverage worse than the provider advertised, a gateway holding a payout — your remedy for those is with them.

We do not promise you will sell anything or earn any particular margin. The figures the panel shows are readings from your own orders and your providers’ responses, not forecasts and not advice.

Support is included with every plan, at [email protected]. These terms do not commit us to a response time.

Limitation of liability

Neither of us is liable to the other for indirect or consequential loss, or for lost profit, lost revenue, lost data or lost goodwill, however it arises.

Our total liability for everything arising out of this agreement is capped at the subscription fees you paid in the twelve months before the claim.

We are not liable for what your provider, your gateway or a network operator does or fails to do, for what you sell or how you sell it, or for a claim your shopper brings against you as their seller.

You will cover us against claims arising from your store: what you sold, what you told a shopper, tax you did not account for, and personal data you put through the platform without the right to.

Nothing here limits liability that cannot be limited — fraud, death or personal injury caused by negligence, or anything else the governing law puts beyond contract.

These limits are part of the price. The subscription is priced as software you run your business with, not as insurance for that business.

Changes to these terms, governing law, and reaching us

We may change these terms — for new features, new law, or a change in how we bill. When a change matters to you we will tell you before it takes effect: at least 30 days beforehand. The date at the top of this page is when the text last changed. Carrying on after a change means you accept it; if you do not, cancel.

This agreement is governed by the law of Delaware, United States, and the courts of Delaware, United States have exclusive jurisdiction over any dispute arising from it.

Notices to us go to [email protected]. Privacy and data questions go to [email protected], security reports to [email protected]. Notices to you go to the email address on your account.

These terms, the Data Processing Addendum, the Privacy Policy and the plan you bought are the whole agreement between us and replace anything said beforehand. If one clause turns out to be unenforceable, the rest stands. You may not transfer this agreement without our consent; we may transfer it to whoever takes over the business, and we will tell you when we do.
